Terms & Conditions

Last Updated: October 2026 • Federal Republic of Nigeria

Agreement Overview

These Terms & Conditions ("Terms", "Agreement") govern your access to and use of the services, website, consultative audits, and digital solutions provided by Konkere & Co. ("we", "us", "our"). By visiting our website, submitting an onboarding assessment, or booking a consultative session, you ("Client", "User", "you") agree to be bound by these Terms in full.

Section 01

Technical Workflow Audit: Terms of Consultation

1. Scope of Consultation

This booking secures a technical workflow audit to identify operational inefficiencies and bottlenecks within your business. The session focuses on evaluating your current operations—including disjointed spreadsheets, paper trails, and siloed data—to map out a potential unified cloud architecture.

2. Confidentiality & Non-Disclosure

As a professional business technology solutions provider, Konkere & Co. understands the sensitive nature of your internal data. All operational workflows, business strategies, pricing structures, client lists, and internal challenges discussed during this diagnostic session will be kept strictly confidential and will not be disclosed to any third party without your prior written consent.

3. Proposals & Implementation

This audit serves strictly as an exploratory and discovery phase. Following the consultation, Konkere & Co. may present a rapid-deployment Zoho Creator prototype to solve an immediate bottleneck, or a comprehensive digital foundation via The Launchpad Package. You are under no obligation to proceed with a software build. Any subsequent engineering, including custom Vue.js, Node.js, or Deluge scripting, will be governed by a separate, formal project agreement and statement of work (SOW).

4. Separation of Professional Fees & Software Licenses

Konkere & Co. is an engineering-led consultancy that charges for custom system architecture, integration, workflow programming, and continuous maintenance. Our project implementation packages (e.g., setup, legacy migration, ERP implementations) are distinct and completely separate from any software licenses (such as Zoho Creator, Zoho Books, Zoho CRM, Zoho One, or third-party cloud infrastructure) required to operate the platform. Software subscriptions are billed directly by the respective software vendors unless explicitly itemized otherwise.

5. Cancellations & Rescheduling Policy

To respect the time of our Solutions Engineering team and other regional SMEs seeking audits, please provide at least twenty-four (24) hours' advance notice if you need to reschedule or cancel your session. Sessions may be rescheduled using the automated link provided in your calendar confirmation email or by contacting us at admin@konkere.co.

Section 02

Advisory Nature & No Guarantees

Konkere & Co. provides technical, architectural, and business workflow engineering based on industry standards and the information provided by the Client. While we design robust solutions aimed at eliminating operational friction, we do not guarantee specific financial results, revenue milestones, or operational profit margins.

The Client remains solely responsible for its own business management, managerial oversight, compliance with statutory requirements, and internal decision-making. Konkere & Co. shall not be responsible for operational decisions made by the Client following our advisory or implementation.

Section 03

Third-Party Platforms (Zoho, Cloud Providers & APIs)

Our implementations often interface with, run on, or configure third-party cloud platforms, including Zoho Corporation (Zoho One, CRM, Books, Creator), Cloudflare, Google Workspace, payment gateways, and telecommunications APIs.

  • Independent Relationship: Konkere & Co. is an independent solutions provider and is not the vendor, creator, or guarantor of third-party platforms.
  • Platform Service Levels: We are not liable for service outages, scheduled maintenance, downtime, data loss, API deprecations, rate limits, or policy/pricing adjustments implemented by third-party platform vendors.
  • Terms of Third Parties: The Client agrees to comply with all applicable End User License Agreements (EULA) and Terms of Service imposed by third-party software providers.
Section 04

Intellectual Property Rights

Client Materials: The Client retains all ownership, title, and intellectual property rights in and to all proprietary business data, trade secrets, documents, and client records furnished to Konkere & Co.

Konkere Methodologies: Konkere & Co. retains all rights in its pre-existing intellectual property, proprietary software frameworks, diagnostic scripts, Deluge templates, documentation, and engineering workflows developed independently of a specific Client engagement.

Custom Deliverables: Upon full and final payment of all agreed project fees under a formal Statement of Work, custom configurations, custom code, and tailored modules produced specifically for the Client shall be licensed or assigned to the Client as specified in the project agreement.

Section 05

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KONKERE & CO., ITS DIRECTORS, EMPLOYEES, CONTRACTORS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, LOSS OF REPUTATION, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH OUR CONSULTING SESSIONS, DIAGNOSTICS, ROADMAPS, OR SOFTWARE IMPLEMENTATIONS.

Our aggregate cumulative liability arising out of or related to any single consultation, audit, or service shall in all circumstances be strictly limited to the actual fee amount paid by the Client to Konkere & Co. for that specific session or deliverable in the thirty (30) days preceding the claim.

Section 06

Indemnification

The Client agrees to defend, indemnify, and hold harmless Konkere & Co., its officers, engineers, and agents against any claims, losses, damages, liabilities, or legal expenses (including reasonable legal fees) arising out of or resulting from the Client's unlawful use of software, breach of third-party platform licenses, provision of infringing materials, or willful misconduct.

Section 07

Governing Law & Jurisdiction

These Terms & Conditions shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be submitted to good-faith amicable negotiation between senior executives of both parties for a minimum period of thirty (30) days. In the event that amicable resolution fails, the courts of competent jurisdiction located in Ondo State or the Federal High Court of Nigeria shall have exclusive jurisdiction.

Section 08

Amendments & Contact Information

Konkere & Co. reserves the right to modify or update these Terms at any time by posting the revised version on this website. Continued engagement with our services following any such modifications constitutes your acceptance of the updated Terms.
